About the Role:
LangChain builds infrastructure that powers AI-native applications. Our open-source framework and commercial products enable developers and enterprises to build, deploy, and scale applications with large language models.
We are seeking a business-minded Commercial Counsel with experience drafting, redlining, and negotiating sales agreements with sophisticated global and domestic organizations. This role will serve as a key legal partner to our Go-To-Market organization and cross-functional stakeholders across the company, helping to accelerate revenue while thoughtfully managing risk.
This is a full-time, hybrid position based in our New York City office. Our hybrid work model offers a blend of remote flexibility and in-person collaboration, including designated in-office days each week to connect and build as a team.
What You’ll Do:
Support LangChain’s Sales and Partnerships teams by drafting, reviewing, and redlining customer-facing commercial agreements, including MSAs, order forms, DPAs, security addenda, and related amendments
Negotiate directly with customer and partner counsel to drive agreements to execution
Partner closely with Sales, RevOps, Finance, Security, and Product to facilitate efficient deal execution while balancing legal and business risk
Advise on contractual issues related to data protection, privacy, security, intellectual property, AI/LLM usage, liability, and compliance in a SaaS environment
Provide practical, business-focused legal guidance to help close deals while maintaining scalable contracting processes
Contribute to the development and continuous improvement of contract templates, playbooks, fallback positions, and negotiation guidelines
Support cross-functional initiatives related to product launches, pricing strategy, new go-to-market motions, and customer lifecycle matters
Identify trends in customer redlines and help evolve standard commercial positions to support scale
What You’ll Bring:
7–12+ years’ experience negotiating and drafting commercial sales agreements, including in-house experience at a SaaS, infrastructure, or technology company and/or a law firm
Strong experience negotiating SaaS, cloud, or technology agreements in support of direct enterprise sales teams
Demonstrated experience redlining complex agreements at scale
Working knowledge of data privacy, security, intellectual property, and technology contracting issues in a B2B SaaS context
Comfort advising on emerging AI-related contractual issues (e.g., model outputs, data use, acceptable use restrictions, indemnities)
Ability to balance legal risk with business objectives in a fast-paced, high-growth environment
Strong communication skills and comfort advising non-legal stakeholders
Highly organized, responsive, and able to manage multiple priorities simultaneously
High attention to detail with strong ownership and drive
Admitted to practice law in the applicable jurisdiction (New York preferred or ability to register as in-house counsel in NY)

Actual compensation and offerings will vary based on role, level, and location. Team members in the EU, UK, and APAC receive locally competitive benefits aligned with regional norms and regulations.
Annual salary range: $220,000 - $260,000 USD
